1. Acceptance of Terms

By accessing and using the services provided by Wolfgang Solutions, LLC (“we,” “us,” or “our”), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

• SEO services and optimization
• Data center solutions
• Custom software development
• AI agents and automation solutions
• Network infrastructure design and management
• Managed IT services

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with or without notice.

3. Client Responsibilities

As a client of Wolfgang Solutions, LLC, you agree to:

• Provide accurate, current, and complete information during the consultation and service engagement process
• Maintain the security of your account credentials and notify us immediately of any unauthorized access
• Comply with all applicable laws and regulations in your use of our Services
• Not use our Services for any illegal or unauthorized purpose
• Not interfere with or disrupt the integrity or performance of our Services
• Not attempt to gain unauthorized access to our systems or networks

4. Payment Terms

Payment terms for our services will be specified in individual service agreements or statements of work. Generally:

• Fees are due as specified in your service agreement
• Late payments may incur interest charges or result in service suspension
• All fees are non-refundable unless otherwise specified in writing
• We reserve the right to change our pricing with 30 days' notice

5. Intellectual Property

Unless otherwise specified in a written agreement:

• All intellectual property rights in custom-developed software, code, or solutions remain with Wolfgang Solutions, LLC until full payment is received
• Upon full payment, ownership of custom-developed work transfers to the client as specified in the service agreement
• Pre-existing intellectual property of either party remains the property of that party
• We retain the right to use anonymized examples of our work for marketing and portfolio purposes

6. Confidentiality

We understand the sensitive nature of your business information and commit to:

• Maintaining strict confidentiality of all client information
• Not disclosing confidential information to third parties without written consent
• Using confidential information solely for the purpose of providing our Services
• Implementing appropriate security measures to protect confidential information

This confidentiality obligation survives termination of our service relationship.

7. Warranties and Disclaimers

Our Services are provided “as is” and “as available” without warranties of any kind, either express or implied. We do not warrant that:

• Our Services will be uninterrupted, secure, or error-free
• Any defects or errors will be corrected
• Our Services will meet your specific requirements

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Wolfgang Solutions, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, data, or business opportunities
• Service interruptions or downtime
• Security breaches or data loss
• Third-party actions or failures

Our total liability for any claims arising from or related to our Services shall not exceed the amount paid by you to us in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Wolfgang Solutions, LLC, its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from:

• Your use of our Services
• Your violation of these Terms
• Your violation of any third-party rights
• Any content or data you provide to us

10. Termination

Either party may terminate a service agreement:

• With written notice as specified in the service agreement
• Immediately for material breach of these Terms
• Upon completion of the agreed-upon services

Upon termination, you remain responsible for all fees incurred up to the date of termination. Sections relating to payment, confidentiality, intellectual property, and limitation of liability shall survive termination.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Wolfgang Solutions, LLC operates, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved through binding arbitration or in the appropriate courts of that jurisdiction.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by:

• Posting the updated Terms on our website
• Updating the “Last updated” date at the top of this page
• Sending notice via email for significant changes

Your continued use of our Services after such modifications constitutes acceptance of the updated Terms.
